1. Introduction
Welcome to Mise.
Mise is a professional career, portfolio, community, and marketplace platform built for the food, beverage, culinary, hospitality, and restaurant industries.
Mise enables professionals, employers, businesses, educators, service providers, and consumers to create professional profiles, build portfolios, showcase experience, discover opportunities, connect with industry peers, participate in professional communities, and facilitate commercial transactions.
These Terms & Conditions ("Terms") govern your access to and use of the Mise website, mobile applications, APIs, software, marketplace services, professional networking features, community features, and all related products and services (collectively, the "Platform").
By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Platform.
2. About Mise
Mise is a technology platform designed to support career development, professional networking, portfolio management, community engagement, education, and commerce within the hospitality industry.
Mise may provide:
- Professional portfolios
- Career profiles
- Employment opportunities
- Professional networking tools
- Marketplace services
- Educational resources
- Industry communities
- Messaging tools
- Payment infrastructure
- Analytics and career insights
- Artificial intelligence powered tools and recommendations
Mise is not a restaurant, catering company, staffing agency, employer, event operator, or provider of culinary services unless expressly stated otherwise. Mise generally provides technical infrastructure that enables users to connect and transact with one another.
3. Target Audience
The Platform is intended for:
- Culinary professionals
- Hospitality professionals
- Food and beverage professionals
- Educators
- Consumers seeking hospitality-related services
Users must be at least eighteen (18) years of age or the age of majority in their jurisdiction, whichever is greater.
4. Definitions
For purposes of these Terms, the following definitions apply:
"Platform" means the Mise website, mobile applications, APIs, software, marketplace, professional networking features, community features, payment infrastructure, and all related products and services operated by MY Collective LLC.
"Professional" means any approved culinary, hospitality, food and beverage, or related industry professional offering services, creating portfolio content, participating in the professional community, or otherwise using the Platform in a professional capacity. Professionals include, but are not limited to, chefs, private chefs, pastry chefs, bakers, caterers, bartenders, sommeliers, hospitality consultants, culinary instructors, food artisans, and other hospitality professionals approved by Mise.
"Client" means any individual or business that uses the Platform to discover, engage, communicate with, or book a Professional.
"Booking" means any confirmed engagement, reservation, recurring service, experience, consultation, or other transaction facilitated through the Platform.
"Content" means any information, photographs, videos, menus, recipes, resumes, portfolio materials, reviews, ratings, messages, comments, documents, or other materials submitted to the Platform by users.
"Verification" means Mise’s review process for evaluating identity, credentials, employment history, certifications, licenses, insurance, portfolio materials, military status, or other supporting documentation. Verification indicates only that submitted information satisfied Mise’s review requirements at the time of review and does not constitute a guarantee, endorsement, or certification of future performance.
"Career Arc" means Mise’s proprietary professional progression framework used to organize membership tiers, professional recognition, platform features, pricing, benefits, and other services. Additional information regarding Career Arc stages, advancement criteria, eligibility requirements, and associated benefits may be published separately by Mise and may be updated from time to time.
"Consumer" means an individual who purchases goods or services through the Platform on a transactional basis outside of an Experience Team Booking, including Made to Order and Pop Up purchases.
"Guest" means an individual invited to attend a Booking who is not a Client. A "Guest Type A" Guest does not make a payment in connection with the Booking. A "Guest Type B" Guest pays a portion of the Booking cost directly and receives the payment visibility described in these Terms for that Booking.
"Co-Client" means any of two or more individuals or businesses jointly responsible for a single Booking. "Primary Client" means the Co-Client designated, at booking confirmation, to resolve time-sensitive decisions if another Co-Client does not respond within the timeframe stated in these Terms.
"Experience Team" means two or more Professionals coordinated to deliver a single Booking.
5. User Accounts
Registration is required to access certain Platform features. Users agree to:
- Provide accurate information
- Maintain current information
- Protect account credentials
- Accept responsibility for account activity
Mise may require:
- Identity verification
- Government-issued identification
- Professional credential verification
- Employment verification
- Insurance verification
- Background checks for certain services
Mise may suspend or terminate accounts that fail verification requirements.
6. Professional Profiles and Verification
Professionals may create profiles and portfolios showcasing:
- Employment history
- Education
- Certifications
- Awards
- Menus
- Photography
- Projects
- Recipes
- Professional achievements
User Profile Content
Users are responsible for the accuracy, completeness, and ongoing maintenance of all profile information, including biographies, portfolio content, employment history, certifications, awards, and professional achievements. Although Mise may review and verify certain information, users remain solely responsible for ensuring that all submitted content is truthful, current, and not misleading.
Professional Verification
Mise is committed to maintaining a trusted professional community. All professional applications submitted to the Platform are subject to review prior to approval. As part of this process, Mise may review identity information, professional experience, certifications, portfolio content, employment history, educational background, licenses, insurance documentation, and other supporting materials.
Approval by Mise indicates only that the information submitted satisfied Mise’s review requirements at the time of review. While Mise undertakes reasonable efforts to review and verify professional information, no verification process can guarantee the complete accuracy, completeness, or ongoing validity of all information provided by users. Users remain solely responsible for the truthfulness and accuracy of information submitted to the Platform.
Mise reserves the right to request additional documentation, conduct supplemental reviews, re-verify information, suspend accounts, remove content, or revoke approvals at any time.
Verified Profiles and Credentials
Certain users, credentials, certifications, employment experiences, awards, licenses, educational achievements, or professional accomplishments may be designated as "Verified" by Mise. A verification designation indicates that Mise reviewed supporting documentation or other evidence reasonably believed to support the claim at the time of review.
Verification does not constitute an endorsement, recommendation, guarantee of competence, guarantee of future performance, or certification by Mise. Mise may revoke verification status at any time if information becomes outdated, inaccurate, misleading, or cannot be reasonably substantiated.
7. Electronic Communications
By creating an account or using the Platform, users consent to receive electronic communications from Mise, including transactional messages, booking updates, account notifications, security alerts, legal notices, policy updates, and other communications related to the operation of the Platform.
Users are responsible for maintaining current contact information. Electronic communications satisfy any legal requirement that communications be provided in writing where permitted by applicable law.
8. Community Guidelines
Mise exists to elevate and strengthen the hospitality industry. Users agree to engage professionally and respectfully. Users may not:
- Harass or intimidate others
- Discriminate against individuals or groups
- Publish false information
- Impersonate another individual or business
- Share confidential information without authorization
- Engage in fraudulent activity
- Spam users
- Manipulate reviews or ratings
- Promote unlawful activity
- Post harmful, abusive, or deceptive content
Mise may remove content and restrict account access at its sole discretion.
9. Professional Standards
Professionals using the Platform agree to maintain professional standards consistent with industry expectations. Professionals must:
- Represent qualifications accurately
- Maintain required licenses and permits
- Comply with applicable laws
- Honor confirmed commitments
- Follow applicable food safety requirements
- Conduct themselves professionally
Repeated violations may result in suspension or permanent removal.
10. Background Checks
Purpose
As part of the onboarding process, all Professionals are required to complete a background check before approval to join the Platform. Many of our Professionals work inside Clients’ homes, and this step exists to build the trust that makes that possible. Mise reviews every profile personally before approval — the background check is one part of that review.
What We Look For
Mise’s background check process evaluates criminal history only. Mise is screening for serious red flags, such as violent offenses, that would reasonably concern a Client welcoming a Professional into their home. Mise does not consider credit history, credit scores, or other financial information as part of this process, and a Professional’s credit standing has no bearing on their eligibility to join the Platform. We understand that everyone’s history includes circumstances beyond their control, and a background check is not a search for a perfect record. It is a tool to protect the safety of our community while giving every Professional a fair and thoughtful review.
Third-Party Provider
Background checks are conducted through Checkr, a third-party consumer reporting agency. Before a background check is initiated, Professionals are presented with a standalone disclosure and authorization form, separate from these Terms, which must be reviewed and accepted as part of onboarding. By accepting that disclosure, Professionals consent to the collection and review of information by Checkr in accordance with its own privacy practices and applicable law.
Confidentiality
Background check results are treated with the utmost privacy and care. Results are used solely to evaluate a Professional’s eligibility to join the Platform and are never shared with Clients, other Professionals, or any third party except as required to administer the verification process or as required by law. Results are never displayed on a Professional’s public profile.
Scope and Limitations
A completed background check reflects the criminal history information available to Mise at the time of review. It is not a guarantee of a Professional’s character or future conduct, and Mise does not warrant the completeness or accuracy of information provided by Checkr.
Adverse Action
If Mise intends to decline or revoke a Professional’s approval based in whole or in part on the criminal history results of a background check, Mise will provide notice in accordance with the Fair Credit Reporting Act and applicable state law, including an opportunity to dispute the accuracy of the report directly with Checkr. This process applies only to criminal history findings; Mise does not take adverse action based on credit history, as credit information is not part of Mise’s review.
Fees
Any background check fee is disclosed before a Professional submits to the check and may be waived in connection with certain promotions, including the Founder’s Pilot Program described in these Terms.
11. Marketplace Services
Mise is a curated professional marketplace. Participation by Professionals is subject to application, review, and approval. Mise provides technology infrastructure that facilitates relationships between Professionals and Clients. Mise reserves the right to approve, decline, suspend, or revoke participation on the Platform at its sole discretion and in accordance with applicable law.
Mise is not:
- The employer of Professionals
- The purchaser of services
- The seller of services
- A staffing agency
- A party to contracts between Clients and Professionals
Any agreement for services is formed directly between the Client and the Professional. Mise does not supervise, direct, control, or guarantee the legality, quality, safety, suitability, timeliness, or performance of services provided by Professionals. Professionals are solely responsible for delivering their services. Clients are solely responsible for evaluating Professionals before engaging their services.
12. Payments, Platform Fees, and Professional Payouts
Mise facilitates payments through third-party payment processors, including Stripe. By using the Platform’s payment services, users also agree to the applicable terms and conditions of the payment processor.
Client Marketplace Fee
Clients are charged a marketplace service fee on eligible bookings and orders, presented as a single line item during checkout. The fee is based on the Client’s own completed-transaction history on the Platform and does not vary with the Professional’s Career Arc stage: fifteen percent (15%) for a Client’s first five (5) transactions, twelve percent (12%) after five (5) completed transactions, and ten percent (10%) after fifteen (15) completed transactions. Transactions that are cancelled, fully refunded, or partially refunded following a dispute do not count toward a Client’s fee-tier progression.
Professional Platform Fee
Professionals pay a platform fee based on their current Career Arc stage:

Platform fees are deducted from the Professional’s payout for completed transactions.
Veteran & Active Military Benefit
Verified active-duty military personnel and military veterans receive a two (2) percentage point reduction to their applicable platform fee, subject to a minimum platform fee of four percent (4%). This benefit is fully funded by Mise. It increases the Professional’s payout and does not increase the Client’s marketplace fee or alter the Professional’s listed pricing.
Founder’s Pilot Program
The Founder’s Pilot Program is available to Professionals who join the Platform within the first thirty (30) days following the Platform’s initial public launch. Professionals accepted into the Founder’s Pilot Program receive a reduced platform fee of six percent (6%) and a waiver of the standard background check fee, beginning on the date of their first completed Booking. This benefit is fully funded by Mise. It does not increase the Client’s marketplace fee or alter the Professional’s listed pricing.
The Founder’s Pilot Program is limited to a fixed number of Professionals admitted at Mise’s sole discretion during the thirty (30) day enrollment window. The Founder’s Pilot Program rate does not stack with the Veteran & Active Military Benefit or any other discount; where a Professional qualifies for more than one benefit, the lowest applicable platform fee shall apply, subject to the four percent (4%) minimum platform fee.
To retain the Founder’s Pilot Program rate beyond the initial period, a Professional must complete at least fifteen (15) Bookings, each with a minimum transaction value of thirty dollars ($30), within ninety (90) days of their first completed Booking. Professionals who meet this threshold retain the Founder’s Pilot Program rate on an ongoing basis. Professionals who do not meet this threshold will have their platform fee revert to the rate applicable to their current Career Arc stage.
Professionals who participated in the Founder’s Pilot Program retain the “Founder’s Pilot Program Professional” designation on their profile permanently, regardless of whether the discounted rate continues.
Payment Processing Fees
Mise absorbs all standard payment processing fees charged by its payment processor for transactions completed through the Platform. Professionals are not charged separate standard payment processing fees in addition to their applicable platform fee.
Taxes
Professionals are independent contractors and are solely responsible for determining, reporting, and paying all applicable federal, state, local, and international taxes arising from their earnings through the Platform. Clients are responsible for any taxes applicable to their purchases that are not collected or remitted by the Platform as required by law.
Pricing Changes
All applicable fees are disclosed before a transaction is completed. Mise reserves the right to modify platform fees, marketplace fees, subscriptions, or pricing structures upon reasonable advance notice and in accordance with applicable law.
Experience Team Payment Transparency
For Bookings involving an Experience Team, every Professional on the Booking can view the total Booking revenue, every other Professional's agreed fee, the applicable platform fee, their own net payout, and the distribution status of all payments. Mise disburses payment directly and simultaneously to each Professional on the Booking. No Professional, including a lead Professional, holds or distributes another Professional's payment.
Post-Event Payment Release
Upon booking confirmation, the deposit portion of the booking is disbursed directly to the Professional to support event preparation. The balance portion is held by Mise and, following event completion, a 48-hour dispute window opens. If no dispute is filed within that window, the balance releases automatically to the Professional(s).
13. Refunds and Cancellations
Unless otherwise stated at the time of booking, the following cancellation schedule applies.
When a Client cancels, the refund equals the applicable cancellation-tier percentage of the amounts actually collected to date (the deposit, or the deposit plus balance if the balance has been charged), less the portion of the Mise service fee included in the amounts collected, which is non-refundable. Any uncollected balance is not charged upon cancellation. When a Professional cancels a confirmed Booking, the Client receives a full refund of all amounts collected, including the Mise service fee.
Client Cancellation
Deposit means the portion of the Professional’s service fee collected at booking confirmation to reserve the Professional’s availability. Deposits are applied toward the total booking amount and may become non-refundable based on the applicable cancellation schedule.
Tier 1 — Standard Events (Deposit: 25%)
- More than 7 days before the event: Refund of all amounts collected to date, less the portion of the Mise service fee included in the amounts collected, which is non-refundable
- 3–7 days before the event: Refund of 50% of the amounts collected to date, less the portion of the Mise service fee included in the amounts collected, which is non-refundable
- Less than 3 days before the event: No refund; all payments to date are retained
Tier 2 — High-Investment Events, incl. weddings (Deposit: 50%)
- More than 30 days before the event: Refund of all amounts collected to date, less the portion of the Mise service fee included in the amounts collected, which is non-refundable
- 14–30 days before the event: Refund of 50% of the amounts collected to date, less the portion of the Mise service fee included in the amounts collected, which is non-refundable
- 7–14 days before the event: Refund of 25% of the amounts collected to date, less the portion of the Mise service fee included in the amounts collected, which is non-refundable
- Less than 7 days before the event: No refund; all payments to date are retained
Tier 3 — Journey Experiences (Deposit: 50%)
- More than 60 days before the event: Refund of all amounts collected to date, less the portion of the Mise service fee included in the amounts collected, which is non-refundable
- 30–60 days before the event: Refund of 50% of the amounts collected to date, less the portion of the Mise service fee included in the amounts collected, which is non-refundable
- 14–30 days before the event: Refund of 25% of the amounts collected to date, less the portion of the Mise service fee included in the amounts collected, which is non-refundable
- Less than 14 days before the event: No refund; all payments to date are retained
Tier 4 — Lifestyle Culinary (Deposit: 30%)
- 48 or more hours before the session: Refund of all amounts collected to date, less the portion of the Mise service fee included in the amounts collected, which is non-refundable
- Less than 48 hours before the session: No refund; all payments to date are retained
Tier 5 — Made to Order (Deposit: 25%)
- Before production begins: Refund of all amounts collected to date, less the portion of the Mise service fee included in the amounts collected, which is non-refundable
- After production begins: No refund; all payments to date are retained
Additional cancellation details applicable to specific services may be disclosed during checkout and shall control in the event of any conflict with this section.
Professional Override Right
A professional may offer terms more generous than this schedule (e.g., a full refund when only a partial refund is required) but may not impose terms more restrictive than this schedule.
Professional Cancellation
If a Professional cancels a confirmed Booking, the Client receives a full refund of all amounts collected, including the Mise service fee. The Professional forfeits any earnings on the Booking, and Mise retains its platform fee on any amounts already disbursed. Mise may attempt to facilitate replacement services.
No-Shows
If a Professional does not arrive for a confirmed Booking and gives no notice, the Client receives an automatic full deposit refund, and the Professional's reliability record reflects the no-show. If a Client or Guest is not present at the agreed start time and the Professional arrived as scheduled, the Professional is compensated per the applicable cancellation tier and the Client's deposit is forfeited.
14. Uninvited Guests and Overage Charges
At booking, the Professional sets a per-head overage rate and a maximum headcount cap, which the Client agrees to before confirming. If additional guests attend beyond the agreed headcount, either the Professional or the Client may initiate an overage charge; the Client is notified in real time and the charge is added to the post-event balance.
A Professional may refuse additional guests, without Client approval, if the request would exceed the agreed headcount cap. This right is contractually binding and cannot be overridden by the Client, and no charge applies when it is exercised.
If a Client disputes an overage charge, the disputed amount is held in escrow pending resolution under the Booking Disputes process described in Section 16. For Bookings with more than one Client, if a Co-Client does not respond to an overage request within fifteen (15) minutes, the Primary Client may decide on behalf of all Clients.
15. Bill-Split Bookings
Certain Bookings allow cost to be split among multiple paying Guests ("Bill-Split Bookings"). Paying Guests on a Bill-Split Booking can view the total Booking cost, the service fee attributable to each Professional, their individual share, and the payment status of all other paying Guests on that Booking.
If a Guest does not pay by the applicable deadline, Mise will send reminder notices to that Guest. If payment remains outstanding, the Client may remind the Guest again, cover the unpaid share, or remove the Guest from the Booking.
A Professional may proceed with a Booking using only confirmed, paying participants, or may cancel the Booking. If a Professional cancels because of a Guest's non-payment, the cancellation schedule in Section 13 applies to the paying participants, and the Client may seek reimbursement from the non-paying Guest directly. Mise is not a party to, and does not enforce, that reimbursement.
16. Booking Disputes
A Client, Consumer, or paying Guest may dispute service quality, an overage charge, a no-show, or a cancellation within forty-eight (48) hours of a Booking's completion by submitting a description of the issue and any supporting evidence through the Platform.
When a dispute is filed, both the Client and the Professional are notified that Mise is reviewing it. Mise targets a resolution within forty-eight (48) hours of filing. Until the dispute is resolved, any balance payout to the Professional is held.
Every dispute is reviewed and decided by Mise's team. Mise may resolve a dispute by releasing the full payment to the Professional, splitting the payment between the Professional and the Client, or refunding the Client in full. When the decision is made, both parties are notified of the outcome simultaneously and any refund or payout is processed accordingly.
A party may appeal a quality-dispute decision once, within forty-eight (48) hours of the decision, if new evidence is presented. Decisions on overage and no-show disputes are final upon human review and are not eligible for appeal.
Repeated disputes filed against a Professional may affect that Professional's search ranking, credential eligibility, or standing on the Platform.
17. Reliability Records and Deposit Privilege
The Platform maintains a reliability record for each Professional, derived from completed engagements, Professional-initiated cancellations, and no-shows across all service pillars. Reliability events accrue severity points as follows: no-show, three (3) points; Professional cancellation within seven (7) days of the event, two (2) points; Professional cancellation eight (8) to thirty (30) days before the event, one (1) point; Professional cancellation more than thirty (30) days before the event, zero (0) points. All events remain part of the Professional's permanent reliability record and published reliability score regardless of point value. The Professional's ability to require an upfront deposit ("deposit privilege") scales with accrued points over a rolling six (6) month period: zero points, full deposit privilege; one to two points, deposits capped at twenty-five percent (25%) of the Professional's service price; three or more points, deposit privilege suspended, with the Professional compensated in full following event completion via the standard balance-release process. Point-based privilege restrictions expire six (6) months after the underlying event; the reliability record itself is permanent.
Cancellation Integrity
Clients cancelling an engagement are asked to indicate a reason, including whether the Professional requested or pressured the cancellation. Such reports do not automatically affect any Professional's record; they are reviewed by Platform personnel, and where confirmed, the cancellation is reclassified as a Professional-initiated cancellation (two points) for reliability purposes. The Platform monitors cancellation patterns to protect the integrity of reliability records.
Reliability Records Generally
The Platform maintains and may publish reliability records for both Professionals and Clients, calculated from platform-recorded events under published methodologies. Reliability scores display only where sufficient engagement history exists to be statistically fair.
18. Safety Cancellations
Safety Exemption
If a Client or Professional feels unsafe in connection with any engagement, they may cancel immediately at any time. A safety cancellation is processed without delay and opens a safety report reviewed by Platform personnel. Any reliability consequence of the cancellation is held pending review: where the safety report is validated in whole or in part, no reliability points accrue; where it is not validated, standard consequences apply. A pattern of unvalidated safety claims may itself constitute a violation of these Terms. Filing a safety report in bad faith — including fabricating a claim or invoking the safety exemption to avoid reliability consequences — constitutes a serious violation of these Terms and is grounds for account review and removal from the Platform, up to and including permanent removal without eligibility for future registration. A safety report that is reviewed and not validated does not, by itself, constitute bad faith.
Fee Non-Retention on Validated Safety Reports
Where a safety report associated with a cancellation is validated in whole or in part, the Platform will not retain its marketplace fee or platform fee in connection with that engagement. Refunds issued in connection with validated safety cancellations include the Platform's fees in full, notwithstanding any other fee-retention provision of these Terms.
19. Account Review and Removal
Accrual of five (5) or more severity points within the rolling six-month period triggers suspension of deposit privilege and review of the Professional's account by Platform personnel. Following review, the Platform may impose remedies up to and including permanent removal from the Platform without eligibility for future registration, where warranted by severe violations of these Terms, including conduct endangering the safety of any user. Removal decisions are made by Platform personnel, not automated systems. The Platform's account-review and removal provisions, including permanent removal without eligibility for future registration, apply to Clients as well as Professionals, where warranted by severe or repeated violations of these Terms — including repeated failure to honor booking agreements, payment obligations, or standards of conduct toward other users.
20. Client Responsibilities
Clients represent that all booking information is accurate. Clients must disclose:
- Food allergies
- Dietary restrictions
- Religious dietary requirements
- Venue conditions
- Guest counts
- Utilities availability
- Access restrictions
- Safety concerns
Failure to disclose material information may result in additional fees, modification of services, or cancellation. Clients remain responsible for obtaining permits, approvals, licenses, and event insurance where required.
21. Food Safety, Allergens and Health Disclosures
Professionals are responsible for complying with applicable food safety regulations. Clients must disclose known allergies and dietary restrictions.
Mise is not responsible for:
- Allergic reactions
- Foodborne illness
- Dietary misunderstandings
- Injuries caused by user misconduct
Clients acknowledge that food preparation inherently carries risks.
22. Independent Contractor Relationship and Tax Responsibilities
Professionals offering services through the Platform are independent contractors and are not employees, agents, partners, joint venturers, franchisees, or representatives of Mise.
Mise provides technology, payment processing, marketing, portfolio, networking, and marketplace infrastructure that enables Clients and Professionals to connect. Mise does not direct or control the manner, method, scheduling, pricing (except where Platform pricing tools are used), performance, or day-to-day operation of a Professional’s business.
Professionals retain sole responsibility for:
- Determining whether to accept or decline opportunities;
- Establishing and maintaining any required business licenses, permits, or certifications;
- Maintaining any required insurance;
- Complying with applicable federal, state, local, and international laws and regulations;
- Collecting, reporting, and remitting all applicable taxes;
- Paying all income taxes, self-employment taxes, payroll taxes, and other governmental assessments related to amounts earned through the Platform; and
- Maintaining appropriate business records.
Nothing in these Terms shall be construed as creating an employment relationship between Mise and any Professional. Professionals acknowledge that they are responsible for satisfying their own tax obligations and that Mise does not provide tax, accounting, or legal advice.
Where required by applicable law, Mise or its payment processor may collect taxpayer information and issue applicable tax reporting forms, including IRS Form 1099, or other required reporting documents. The issuance of any tax reporting document does not alter or affect the Professional’s status as an independent contractor. 23. Intellectual Property
The Platform and all associated intellectual property are owned by MY Collective LLC, doing business as Mise, or its licensors, and are protected by applicable intellectual property laws.
This includes, without limitation, the Platform’s software, source code, databases, platform architecture, workflows, verification methodologies, Career Arc framework, scoring methodologies, proprietary business processes, user interface designs, graphics, logos, trademarks, branding, documentation, artificial intelligence systems, algorithms, content, and all related improvements, enhancements, and derivative works.
Nothing in these Terms transfers ownership of any intellectual property rights to any user. Users may not copy, reproduce, distribute, modify, create derivative works from, publicly display, reverse engineer, decompile, scrape, or otherwise exploit any portion of the Platform or its intellectual property without the prior written consent of Mise, except as expressly permitted by applicable law.
Career Arc names, membership tiers, progression criteria, verification methodologies, associated benefits, and related branding are proprietary to Mise and may be modified, expanded, or discontinued at Mise’s sole discretion.
24. User Generated Content
Users retain ownership of content they upload.
By submitting content, users grant Mise a worldwide, royalty-free, non-exclusive license to display, reproduce, modify, distribute, and promote such content in connection with operating the Platform.
Users represent that they possess the rights necessary to submit such content.
25. Confidentiality
Users may obtain access to confidential or non-public information through their use of the Platform, including personal contact information, business information, event details, pricing, portfolio materials, employment information, and other proprietary or confidential information.
Users agree to use such information solely for purposes directly related to legitimate use of the Platform and shall not disclose, distribute, sell, publish, or otherwise misuse confidential information without the authorization of the affected party or as required by law. These obligations survive termination of a user’s account.
26. Copyright Policy (DMCA)
Mise respects intellectual property rights. Copyright complaints should include:
- Contact information
- Identification of copyrighted material
- Identification of allegedly infringing content
- Good faith statement
- Statement under penalty of perjury
Repeat copyright offenders may have accounts terminated.
27. Artificial Intelligence Features
Mise may provide AI-powered tools and recommendations. AI-generated content may contain inaccuracies, omissions, or errors. AI-generated outputs are provided for informational purposes only and do not constitute legal, financial, employment, medical, or professional advice. Users remain responsible for decisions made using AI-generated outputs.
28. Accessibility
Mise is committed to accessibility and strives to align with recognized accessibility standards including WCAG guidelines where applicable. Users encountering accessibility barriers may contact Mise for assistance.
29. Digital Services Act (EU Users)
Where applicable, users may report content believed to be illegal or in violation of applicable law. Mise may review, restrict, remove, or disable access to content in accordance with applicable laws and Platform policies. Users who repeatedly submit unlawful content may have Platform access restricted or terminated.
30. Acceptable Use
Users may not:
- Scrape Platform data
- Reverse engineer software
- Use automated systems without authorization
- Circumvent security controls
- Harvest user information
- Distribute malware
- Commit fraud
- Abuse APIs
- Interfere with Platform operations
Violations may result in immediate suspension.
31. Disclaimer of Warranties
The Platform is provided "as is" and "as available." Mise makes no warranties regarding:
- Availability
- Reliability
- Accuracy
- Performance
- Suitability
To the maximum extent permitted by law, all implied warranties are disclaimed.
32. Limitation of Liability
To the maximum extent permitted by law, Mise’s total liability shall not exceed the greater of: (a) fees paid by the user to Mise during the twelve (12) months preceding the claim; or (b) $250 USD.
Mise shall not be liable for:
- Lost profits
- Lost business opportunities
- Loss of goodwill
- Indirect damages
- Consequential damages
- Punitive damages
33. Force Majeure
Neither Mise nor any user shall be liable for delays or failures in performance resulting from events beyond their reasonable control, including acts of God, natural disasters, fire, flood, severe weather, pandemic, epidemic, government action, labor disputes, utility failures, internet outages, transportation disruptions, terrorism, civil unrest, or other extraordinary events.
Where reasonably possible, affected parties shall promptly notify one another and cooperate in good faith to minimize disruption.
34. Indemnification
Users agree to indemnify and hold harmless Mise and its affiliates from claims, losses, damages, liabilities, and expenses arising from:
- Violation of these Terms
- User misconduct
- Negligence
- Failure to disclose material information
- Allergies or dietary disclosures not communicated
- Violation of law
35. Termination
Mise may suspend or terminate access at any time for:
- Fraud
- Misrepresentation
- Safety concerns
- Repeated violations
- Illegal activity
- Failure to comply with these Terms
36. Dispute Resolution
Parties agree to attempt informal resolution before initiating legal proceedings. Except where prohibited by law, disputes shall be resolved through binding arbitration administered by the American Arbitration Association. Arbitration shall occur in San Diego County, California. Users waive participation in class actions to the fullest extent permitted by law.
37. Governing Law
These Terms are governed by the laws of the State of California without regard to conflict-of-law principles.
38. Modifications
Mise may modify these Terms at any time. Continued use of the Platform after changes become effective constitutes acceptance of the revised Terms.
39. Platform Availability
Mise strives to maintain continuous availability of the Platform but does not guarantee uninterrupted or error-free access. The Platform may be temporarily unavailable due to scheduled maintenance, upgrades, security incidents, third-party service interruptions, or events beyond Mise’s reasonable control.
Mise reserves the right to modify, suspend, discontinue, or remove any feature, functionality, membership tier, verification process, Career Arc stage, or service offering at any time, with or without notice, except where otherwise required by applicable law.
